Affiliate Program Terms

The BigCommand LLC affiliate program ("Program") allows approved partners ("Affiliates") to earn commissions by referring new customers to Wayaframe, Cenematic, and Tunedance (collectively, "Products"). When a visitor clicks your unique referral link and completes a qualifying purchase, you earn a percentage of that sale as commission.

The Program is available to content creators, bloggers, influencers, educators, marketers, and other individuals or businesses who can authentically promote our Products to their audience.

Requirements:

To participate in the Program, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have a registered account on one of our platforms
• Have an active online presence (website, blog, social media, YouTube channel, newsletter, or similar platform)
• Submit a complete application through our platform
• Be approved by our team

Application process:

Your application must include:

• A description of your promotion strategy (how you plan to promote our Products)
• Your promotion channels (YouTube, blog, Twitter/X, Instagram, TikTok, newsletter, LinkedIn, Discord, or other platforms)
• Optionally: your website URL, business name, estimated audience reach, and any additional notes

Review and approval:

All applications are reviewed manually by our team. We evaluate applications based on relevance, audience quality, promotion strategy, and alignment with our brand. We reserve the right to approve or reject any application at our sole discretion without providing a reason. If your application is rejected, you may reapply with updated information. Approval does not guarantee continued participation in the Program.

Upon approval, you receive:

• A unique affiliate code (a short alphanumeric identifier assigned to your account)
• A personalized referral link that includes your affiliate code
• Access to the affiliate dashboard with reporting and analytics

Your affiliate code is unique to you and must not be shared with or transferred to another person or entity. You are responsible for the security of your account. If you suspect unauthorized use, contact us immediately.

We may deactivate your affiliate account at any time if we determine that your account is being misused or if you violate these terms.

How tracking works:

When a visitor clicks your referral link, a tracking cookie is placed in their browser. If that visitor makes a qualifying purchase within the attribution window, the sale is credited to your affiliate account.

Attribution window:

The tracking cookie has a 60-day attribution window. This means the visitor must complete their purchase within 60 days of clicking your referral link for the sale to be attributed to you. If the cookie expires before a purchase is made, no commission is earned.

Last-click attribution:

If a visitor clicks multiple affiliate links before purchasing, the most recent click determines which affiliate receives credit for the sale.

Tracking limitations:

• Tracking depends on browser cookies. If a visitor clears their cookies, uses a different browser or device, or has cookie blocking enabled, the referral may not be tracked.
• We cannot manually attribute sales that were not tracked through our system.
• You are responsible for using your correct referral link in all promotional materials.
• We are not responsible for technical issues, browser settings, or third-party tools that interfere with cookie-based tracking.

Commission rate:

The default commission rate is 20% of the net sale amount. Individual commission rates may vary based on your agreement with us and may be adjusted at our discretion with notice.

How commissions are calculated:

Commissions are calculated on the net sale amount after payment processing fees (charged by our payment processor, FastSpring) have been deducted from the gross sale price. The formula is:

• Net sale amount = gross sale price minus payment processing fees
• Your commission = net sale amount multiplied by your commission rate

Eligible purchases:

• Wayaframe subscription plans (monthly, annual, and lifetime)
• Cenematic subscription plans (monthly, annual, and lifetime)
• Tunedance subscription plans (monthly, annual, and lifetime)

Not eligible for commission:

• AI credit top-up purchases
• Add-on purchases
• Free trials (commission is earned only when a paid purchase is completed)
• Purchases made through your own affiliate link (self-referrals)
• Purchases that are subsequently fully refunded or charged back
• Any products not explicitly included in the Program

Commission on renewals:

Commissions apply to both initial purchases and recurring subscription renewals for customers you referred. As long as the referred customer remains subscribed, you continue to earn commission on each renewal payment.

Commissions are subject to adjustment based on post-sale events:

Full refunds:

If a customer receives a full refund for a purchase you referred, your commission for that sale is reduced to $0. The adjustment is applied automatically to your pending balance.

Partial refunds:

If a customer receives a partial refund, your commission is recalculated based on the remaining amount after the refund, using the same formula described in the Commission Structure section.

Chargebacks:

If a customer initiates a chargeback (disputed payment), the commission for that sale is reversed. If the chargeback is later resolved in our favor, the commission may be reinstated.

Fraudulent purchases:

If we determine that a purchase was fraudulent, the commission is reversed. This includes purchases made with stolen payment information, purchases made solely to generate affiliate commissions, or any purchase we reasonably believe was not a genuine customer transaction.

Adjustment timing:

Commission adjustments are reflected in your dashboard and pending balance as they occur. If a payout has already been made for a sale that is later refunded or charged back, the adjusted amount will be deducted from your future pending balance.

Payout schedule:

Payouts are processed on the last day of every month. Your pending balance must meet or exceed your minimum payout threshold for a payout to be issued that month.

Minimum payout threshold:

You can set your minimum payout threshold between $100 and $5,000 (USD). The default minimum is $500. Your pending balance must meet or exceed your minimum threshold before a payout is processed. If your balance is below the threshold, it carries over until the threshold is reached.

Payment methods:

• PayPal: payment sent to the PayPal email address you provide in your affiliate settings.
• Wise (TransferWise): payment sent to the Wise email address you provide.
• Bank transfer (US accounts): direct deposit via ACH. Requires your routing number, account number, account type (checking or savings), and account holder name.
• Bank transfer (international accounts): wire transfer via SWIFT. Requires your SWIFT/BIC code, IBAN, account holder name, and beneficiary address.

Payment currency:

All commissions are calculated and paid in US Dollars (USD). Currency conversion fees charged by your bank or payment provider are your responsibility.

Your responsibility:

You are responsible for providing accurate and up-to-date payment information. We are not responsible for delays, lost payments, or failed transfers resulting from incorrect or outdated payment details you provided. If a payment fails due to incorrect information, we will attempt to contact you to resolve the issue, but we are under no obligation to retry the payment until you provide corrected details.

Geographic restrictions:

We cannot process payouts to individuals or entities located in countries subject to comprehensive sanctions by the United States government, including but not limited to Cuba, Iran, North Korea, Syria, Russia, and Belarus. If you are located in a sanctioned country, you are not eligible to receive payouts from the Program. This list may change as sanctions are updated.

As an approved affiliate, you have access to a real-time dashboard that provides:

Earnings overview:

• Total sales count and gross revenue generated through your referrals
• Your net earnings (commissions) with your commission rate displayed
• Full and partial refund counts and amounts
• Individual transaction details including customer name, product purchased, sale amount, refund status, and your commission per sale

Visitor analytics:

• Total visits and unique visitors from your referral links
• Visitor breakdowns by product (Wayaframe, Cenematic, Tunedance)
• Daily and monthly visitor trends

Product performance:

• Per-product breakdown of visits, unique visitors, sales, revenue, and net earnings
• Source type breakdown (initial purchases vs. renewals)

Payout history:

• Complete record of all past payouts with amounts, dates, payment method, and references
• Total amount paid to date
• Current pending balance

Time range filters:

All reports can be filtered by time range: today, yesterday, last 7 days, last 30 days, this month, last month, this year, last year, all time, or a custom date range with timezone support.

Disclaimer:

Dashboard data is provided for informational and tracking purposes. While we strive for accuracy, dashboard figures are not guaranteed and may differ from final payout calculations due to pending refunds, adjustments, or processing delays. Final payout amounts are determined at the time of processing.

You agree to:

• Represent our Products honestly, accurately, and in good faith
• Only make claims about features, pricing, and capabilities that are currently true and verifiable
• Clearly and conspicuously disclose your affiliate relationship in all promotional content where required by applicable law, including FTC guidelines in the United States and equivalent regulations in your jurisdiction
• Keep your promotional content up to date. If product features, pricing, or availability change, you are responsible for updating your content accordingly

You agree NOT to:

• Make false, misleading, exaggerated, or unsubstantiated claims about our Products, including claims about earnings potential, guaranteed results, or capabilities that do not exist
• Use our trademarks, logos, brand names, or other brand assets without prior written permission
• Bid on our brand names, product names, or variations of them (including misspellings) in paid search advertising (Google Ads, Bing Ads, etc.)
• Register domain names that contain our brand names or product names, or that could be confused with our official domains
• Send unsolicited commercial emails (spam), make unsolicited phone calls, or use any other form of unsolicited or deceptive marketing
• Use cookie stuffing, ad injection, browser extensions, toolbars, or any other technology to artificially generate or redirect referral clicks
• Create content that is defamatory, offensive, hateful, or that could reasonably damage our brand reputation
• Impersonate BigCommand LLC, our employees, or our official channels
• Purchase through your own affiliate link or encourage others to purchase solely to generate commissions for you (self-referrals)
• Use our Products or the Program in any way that violates applicable laws or regulations
• Incentivize clicks on your referral link through misleading means (for example, disguising the link as something else or requiring users to click it to access unrelated content)

Consequences of violations:

Violation of any promotional guideline may result in one or more of the following actions at our sole discretion: a warning, temporary suspension of your affiliate account, permanent termination from the Program, forfeiture of all unpaid commissions, and/or clawback of previously paid commissions that were earned through prohibited methods.

Our intellectual property:

BigCommand LLC retains all rights, title, and interest in our trademarks, logos, product names (Wayaframe, Cenematic, Tunedance), website content, software, and all other intellectual property. Nothing in these terms grants you any ownership rights to our intellectual property.

Limited license:

We grant you a limited, non-exclusive, non-transferable, revocable license to use our product names in text form solely for the purpose of promoting our Products as part of the Program. Any use of our logos, images, screenshots, or other visual brand assets requires separate written approval. This license terminates immediately upon your departure from the Program.

Your content:

You retain ownership of any original content you create to promote our Products (blog posts, videos, social media posts, etc.). However, you grant us a non-exclusive, royalty-free license to reference, quote, or share your promotional content for our own marketing purposes.

You agree to keep confidential any non-public information shared with you as part of the Program, including but not limited to: your individual commission rate, internal product roadmaps, upcoming features or launches shared with affiliates, and any other information designated as confidential. This obligation survives termination of your participation in the Program.

You are solely responsible for determining and paying any taxes owed on your affiliate earnings in your jurisdiction, including income tax, self-employment tax, VAT, GST, or any other applicable taxes. BigCommand LLC does not withhold taxes from affiliate payouts.

We may request tax identification information from you (such as a W-9 form for US affiliates or a W-8BEN for non-US affiliates) as required by applicable law. Failure to provide requested tax information may result in delayed payouts or suspension of your affiliate account.

If required by law, we may issue tax reporting forms (such as IRS Form 1099-NEC for US affiliates earning $600 or more in a calendar year).

Your participation in the Program creates an independent contractor relationship between you and BigCommand LLC. Nothing in these terms creates an employment, partnership, joint venture, franchise, or agency relationship. You have no authority to bind, commit, or make representations on behalf of BigCommand LLC. You are responsible for your own business expenses, insurance, and compliance with applicable laws governing your activities.

Termination by you:

You may withdraw from the Program at any time by contacting our support team. Upon voluntary withdrawal, earned commissions that have met the minimum payout threshold will be paid out in the next processing cycle. Your referral links will stop tracking new referrals immediately upon termination.

Termination by us:

We may suspend or terminate your participation in the Program at any time, with or without cause, and with or without prior notice. Reasons for termination include, but are not limited to:

• Violation of these terms or our promotional guidelines
• Fraudulent, deceptive, or illegal activity
• Generating low-quality or fraudulent referral traffic
• Extended inactivity (no referral activity for a prolonged period)
• Conduct that damages or threatens to damage our brand reputation
• Changes to or discontinuation of the Program

Effect of termination:

• Your referral links will be deactivated and will no longer track new referrals
• Upon termination for cause (violation of terms, fraud, etc.), we reserve the right to withhold all unpaid commissions
• Upon termination without cause, earned commissions that have met the minimum payout threshold will be paid out
• Commissions on pending or disputed transactions at the time of termination are forfeited
• You must immediately cease all use of our brand assets and remove or update any promotional content that implies an active affiliate relationship
• The confidentiality, limitation of liability, and governing law sections of these terms survive termination

We reserve the right to modify any aspect of the Program at any time, including but not limited to these terms, commission rates, eligible products, payout thresholds, attribution windows, payment methods, and program requirements.

Material changes (such as changes to commission rates or payout terms) will be communicated to active affiliates via email at least 14 days before they take effect, unless the change is required by law or necessary to prevent fraud or abuse.

Your continued participation in the Program after changes take effect constitutes your acceptance of the modified terms. If you disagree with any changes, your sole remedy is to withdraw from the Program before the changes take effect.

The Program is provided "as is" without warranties of any kind. We do not guarantee:

• Any specific level of earnings or commissions
• Uninterrupted availability of the tracking system, dashboard, or referral links
• That all qualifying referrals will be tracked or attributed correctly
• Continued availability of the Program

Past performance and earnings of other affiliates are not indicative of your potential earnings. Your results depend on your own efforts, audience, and promotional strategies.

To the maximum extent permitted by applicable law, BigCommand LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your participation in the Program, including but not limited to lost profits, lost commissions, lost data, or business interruption.

Our total aggregate liability under these terms, whether in contract, tort, or otherwise, shall not exceed the total amount of commissions actually paid to you by BigCommand LLC in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless BigCommand LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:

• Your participation in the Program
• Your violation of these terms
• Your promotional activities and content
• Your violation of any applicable law, regulation, or third-party rights
• Any tax obligations arising from your affiliate earnings

Governing law:

These terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Dispute resolution:

Any dispute, claim, or controversy arising from or relating to these terms or the Program shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its rules. Arbitration shall take place in Delaware or remotely, at our election. You agree to waive any right to participate in a class action or class arbitration.

Before initiating arbitration, you agree to first contact us at support@wayaframe.com to attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may proceed with arbitration.

Entire agreement:

These terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and BigCommand LLC regarding the Program and supersede all prior agreements and understandings.

Severability:

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No waiver:

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment:

You may not assign, transfer, or sublicense your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices:

We will send notices related to the Program to the email address associated with your account. You are responsible for keeping your email address current. Notices are considered delivered when sent.
